UNMTA Terms of Service
Effective Date: Feb 03, 2026
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and UNMTA LLC ("UNMTA," "we," "us," or "our"). By accessing or using UNMTA's email infrastructure services ("Services"), you agree to be bound by these Terms.
1. Services
UNMTA provides dedicated email infrastructure services, including mail transfer agents (MTAs), IP addresses, and related tools for sending email. The specific features, capacity, and resources available to you depend on the service plan you select.
2. Account Registration
2.1 Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the legal authority to enter into these Terms
- Provide accurate and complete registration information
- Maintain the security of your account credentials
2.2 Account Responsibility
You are responsible for all activity that occurs under your account, including actions taken by employees, contractors, or third parties with access to your account. You must notify us immediately at if you become aware of any unauthorized access.
3. Service Plans and Fees
3.1 Plans
We offer multiple service plans (currently Launch, Scale, and Platform) with varying features, resources, and pricing. Plan details and pricing are available on our website and may be updated from time to time. We will notify existing customers of pricing changes at least 30 days before they take effect.
3.2 Fees
Fees are charged in advance on a monthly or annual billing cycle, as selected during signup or subsequently changed in your account settings. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms.
3.3 Taxes
Fees are exclusive of all taxes, levies, and duties. You are responsible for paying any applicable taxes, except for taxes based on UNMTA's net income.
3.4 Resource Usage
The Services are designed for high-volume email transmission. Each plan includes substantial resource and data transfer allocations to support this. We reserve the right to implement reasonable limits on message size, attachment size, or data transfer if usage patterns significantly exceed what is consistent with email transmission (for example, using the service primarily to transfer large file attachments rather than deliver email communications). In the event of sustained excessive usage, we will contact you to discuss plan adjustments or usage optimization.
4. Payment Terms
4.1 Payment Methods
You must provide a valid payment method and authorize us to charge it for all fees when due. You are responsible for keeping your payment information current.
4.2 Failed Payments
If a payment fails, we will notify you and attempt to process the payment again. You have a 30-day grace period to resolve payment issues. During this grace period, your Services will remain active. If payment is not received within 30 days, we may suspend or terminate your account.
4.3 Cancellation
You may cancel your account at any time through your dashboard or by contacting support. Upon cancellation:
- No refunds will be issued for any unused portion of your current billing period
- Your Services will remain active until the end of your current paid term
- You remain responsible for any fees incurred prior to cancellation
4.4 Termination for Breach
If your account is terminated for violation of these Terms or the Acceptable Use Policy, Services will be discontinued immediately and no refunds will be issued.
5. Service Level Agreement
5.1 Uptime Commitment
UNMTA commits to 99.9% uptime for our core email sending infrastructure, measured on a monthly basis. "Uptime" means the Services are available and capable of accepting email for transmission.
The following are excluded from uptime calculations:
- Scheduled maintenance (with at least 24 hours advance notice)
- Emergency maintenance required to protect the integrity of the Services
- Factors outside our reasonable control, including internet connectivity issues, recipient mail server unavailability, or force majeure events
- Suspension of your account due to payment issues or AUP violations
5.2 Service Credits
If we fail to meet the 99.9% uptime commitment in any calendar month, you may request a service credit:

To receive a credit, you must submit a request within 30 days of the end of the affected month. Credits are applied to future invoices and do not entitle you to a cash refund. Credits are your sole and exclusive remedy for any failure to meet the uptime commitment.
5.3 Enhanced SLAs
Higher uptime commitments and custom SLA terms may be available upon request for qualifying customers. Contact us for details.
6. Acceptable Use
Your use of the Services is subject to our Acceptable Use Policy ("AUP"), which is incorporated into these Terms by reference. You agree to comply with the AUP at all times. We may suspend or terminate your account for AUP violations as described therein.
7. Customer Responsibilities
You are responsible for:
- Complying with all applicable laws and regulations governing your email communications, including CAN-SPAM, CASL, GDPR, and other anti-spam and privacy laws
- Obtaining and maintaining all necessary consents from email recipients
- The content of all emails sent through your account
- Configuring and maintaining proper email authentication (DKIM) for your sending domains
- Responding promptly to abuse complaints and UNMTA inquiries
- Implementing appropriate security measures for any systems that connect to UNMTA's Services
8. Infrastructure and IP Addresses
8.1 Dedicated Resources
Depending on your plan, you may be allocated dedicated IP addresses, server resources, and other infrastructure components. These resources are provisioned for your exclusive use during your active subscription.
8.2 Ownership
All IP addresses, server infrastructure, software, and other technical resources provided as part of the Services remain the sole property of UNMTA. You receive a limited, non-exclusive, non-transferable right to use these resources solely for sending email through the Services during your active subscription.
8.3 No Transfer Rights
Upon termination or cancellation of your account, all rights to use allocated IP addresses and infrastructure immediately cease. IP addresses are not transferable to you or any third party, and you may not represent ownership of any UNMTA infrastructure to any party.
9. Data Handling and Retention
9.1 Data Processing
To provide the Services, we process certain data on your behalf, including recipient email addresses, message metadata, and delivery logs. Our processing of personal data is governed by our Privacy Policy.
9.2 Retention Periods
We retain data as follows:
- Log and event data (delivery events, bounce notifications, engagement data): Up to 25 hours
- Message data (queued or deferred messages awaiting delivery): Up to 7 days, deleted immediately upon successful delivery or final disposition
9.3 Data Export
You may export your data at any time through:
- Webhooks — Real-time event delivery to your specified endpoints
- Log shipping — Export to your S3-compatible storage service
We recommend configuring data export before canceling your account, as data is not retained beyond the periods specified above.
9.4 Customer Data Ownership
You retain all rights to your data. We claim no ownership interest in your email content, recipient lists, or other data you provide to use the Services.
10. Deliverability
10.1 No Guarantee of Delivery
While we employ industry best practices to maximize email deliverability, we do not and cannot guarantee that any particular email will be delivered to the intended recipient's inbox. Email delivery depends on numerous factors beyond our control, including:
- Recipient mail server policies and configurations
- Spam filtering decisions by receiving systems
- Recipient engagement history and preferences
- Your sending reputation and practices
- Content of your messages
10.2 Your Role in Deliverability
Deliverability is a shared responsibility. You play a critical role by maintaining clean lists, obtaining proper consent, sending relevant content, properly authenticating your domains, and following email best practices.
10.3 Deliverability Support
We provide tools, documentation, and guidance to help optimize your deliverability. Certain plans include additional deliverability consultation and support.
11. Intellectual Property
11.1 UNMTA Property
The Services, including all software, APIs, documentation, trademarks, and other materials, are owned by UNMTA and protected by intellectual property laws. These Terms grant you no rights to our intellectual property except the limited right to use the Services as described herein.
11.2 Feedback
If you provide suggestions, feedback, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without obligation to you.
12. Confidentiality
12.1 Confidential Information
Each party may have access to confidential information of the other party. "Confidential Information" includes business plans, technical data, pricing, customer lists, and other non-public information.
12.2 Obligations
Each party agrees to:
- Protect the other party's Confidential Information using at least the same care it uses for its own confidential information
- Use Confidential Information only as necessary to fulfill obligations under these Terms
- Not disclose Confidential Information to third parties except as required by law or with prior written consent
12.3 Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is rightfully obtained from a third party without confidentiality restrictions.
13. Indemnification
13.1 Your Indemnification of UNMTA
You agree to indemnify, defend, and hold harmless UNMTA and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services
- Your email content and sending practices
- Your violation of these Terms or the AUP
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any claims by recipients of emails sent through your account
13.2 Indemnification Process
We will promptly notify you of any claim subject to indemnification and provide reasonable cooperation. You may not settle any claim without our prior written consent if the settlement would impose any obligation on us or admit liability on our behalf.
14. Limitation of Liability
14.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2 Liability Cap
UNMTA'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO UNMTA DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
14.3 Exceptions
The limitations in this Section 14 do not apply to:
- Liability arising from gross negligence or willful misconduct
- Your indemnification obligations under Section 13
- Breaches of confidentiality obligations under Section 12
- Your obligation to pay fees owed under these Terms
- Liability that cannot be limited under applicable law
14.4 Basis of the Bargain
The limitations of liability in this Section 14 reflect the allocation of risk between the parties and are an essential basis of the bargain between us. The Services would not be provided without these limitations.
15. Term and Termination
15.1 Term
These Terms are effective when you create an account and continue until terminated by either party.
15.2 Termination by You
You may terminate your account at any time by canceling through your dashboard or contacting support. Termination takes effect at the end of your current paid billing period.
15.3 Termination by UNMTA
We may terminate or suspend your account:
- Immediately, for violation of the AUP or these Terms
- Immediately, if required by law or to prevent harm to our Services, infrastructure, or other customers
- Upon 30 days' notice, for any other reason or no reason
15.4 Effect of Termination
Upon termination:
- Your right to use the Services immediately ceases (or at the end of your paid term, for voluntary cancellation)
- All allocated IP addresses and infrastructure resources revert to UNMTA
- We will delete your data in accordance with our standard retention schedules
- Sections 8.2, 8.3, 9.4, 11, 12, 13, 14, 16, 17, and 18 survive termination
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
17. Dispute Resolution
17.1 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us and attempt to resolve any dispute informally for at least 30 days.
17.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Denver, Colorado, unless the parties agree otherwise.
17.3 Class Action Waiver
YOU AND UNMTA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
17.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the AUP and Privacy Policy, constitute the entire agreement between you and UNMTA regarding the Services and supersede all prior agreements and understandings.
18.2 Amendments
We may modify these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
18.3 Waiver
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
18.4 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
18.5 Assignment
You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
18.6 Notices
We may provide notices to you via email to the address associated with your account or through your dashboard. You may provide notices to us at .
18.7 Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet service failures.
18.8 Independent Contractors
The relationship between you and UNMTA is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
